Terms and Conditions
1. Applicability
These general terms and conditions apply to all offers, quotations and agreements of Innovom B.V. (hereinafter: "Innovom"), registered in Berkel en Rodenrijs, the Netherlands. Deviations are only valid if agreed in writing.
2. Assignments
Agreements are established upon written confirmation by Innovom. Innovom performs assignments to the best of its knowledge and ability, based on a best-efforts obligation. The client shall provide all information required by Innovom in a timely manner.
3. Fees and payment
Rates are established per quotation or agreement. Invoices must be paid within 30 days of the invoice date. In the event of late payment, statutory commercial interest is due. Innovom reserves the right to suspend work if payment is not received.
4. Changes and cancellation
Changes to the assignment are possible by mutual agreement and may result in adjustments to the agreed price and/or timeline. In the event of cancellation by the client, costs incurred and hours worked up to that point are due.
5. Liability
Innovom's liability is limited to the amount invoiced in connection with the relevant assignment, up to a maximum of the amount paid out by the professional liability insurance. Innovom is not liable for indirect damage, consequential damage or loss of profit.
6. Confidentiality
Both parties undertake to maintain confidentiality regarding all confidential information obtained in the context of the assignment. This obligation also applies after termination of the agreement.
7. Intellectual property
All reports, advice and documents delivered by Innovom are protected by copyright. The client obtains a right of use for the agreed purpose. Further distribution or publication requires written permission from Innovom.
8. Applicable law and disputes
All agreements with Innovom are governed by Dutch law. Disputes shall preferably be resolved by mutual agreement. If this is not possible, the competent court in the district of Rotterdam shall have exclusive jurisdiction.
